Secure the deal team, the capital calls and the portfolio you're accountable for

Private Equity Firms IT Services

A private equity firm carries risk at three levels: its own deal team handling confidential targets and material nonpublic information, the fund's money moving through capital calls and distributions, and portfolio companies whose security failures land on your returns.

At a glance

A small investment team rarely has the bandwidth to manage all three. We run managed IT and cybersecurity for lower and middle-market private equity firms and their fund operations.

That covers deal team devices and data rooms, wire and capital call fraud controls, answers for LP due diligence questionnaires, MNPI access controls and technical cybersecurity reviews of acquisition targets and portfolio companies.

IT that protects every deal, capital calls, the portfolio.

Managed IT and security for PE firms protecting deals, fund money and the companies they own.

Private equity IT

Deal secrets, fund wires and a portfolio to defend

Private equity moves fast and quietly. A deal team evaluates targets under NDA, the CFO calls capital from LPs, and portfolio companies run operations the firm is ultimately accountable for. Every one of those is a target. Here's what a firm depends on, how attackers go after it and what we put in place.

01 · The pressure

Live deals, LP money and portfolio boards

Associates work late in data rooms and financial models for a target nobody outside can know about. The CFO sends capital call notices and wires distributions to dozens of LPs through the fund administrator. Operating partners sit on portfolio company boards and field questions after a ransomware headline. LPs send annual due diligence questionnaires with pages of cybersecurity questions. A leak, a misdirected wire or a portfolio breach hits returns and reputation at once.

  • Confidential targets and data room access
  • Capital calls and distributions to LPs
  • Portfolio company risk on the firm's books

02 · How it breaks

Fake wire instructions and a weak portfolio company

Attackers love private equity's money flows. A spoofed email from the fund administrator changes wiring instructions on a capital call, or an LP receives fake distribution details. A deal partner's mailbox is phished and quietly watched for weeks before closing. A data room link is forwarded beyond the NDA group. And a recently acquired company with outdated IT gets hit with ransomware, turning a value creation plan into an incident response budget.

  • Altered wiring instructions on capital calls
  • Deal partner inboxes watched before close
  • Ransomware at a newly acquired company

03 · What we change

Verified wires, controlled deal data, portfolio baselines

Capital call and distribution wiring instructions get confirmed by call-back to known contacts, with dual approval, and we help coordinate matching controls with your fund administrator. Partners and associates get phishing-resistant MFA, managed devices and impersonation protection. Deal data and MNPI live in access-controlled workspaces with logging. For acquisitions, we run technical cybersecurity diligence and give portfolio companies a 100-day security baseline your operating partners can track.

  • Call-back and dual approval on fund wires
  • Access-controlled deal workspaces with logs
  • Cyber diligence and 100-day portfolio plans

04 · The after

Answers for LPs, fewer surprises in the portfolio

When an LP sends a due diligence questionnaire, your CFO answers it with current evidence rather than boilerplate. Deal partners know who has accessed a target's materials. Wire fraud attempts fail at the call-back step. And the investment committee sees cyber risk in acquisition memos alongside commercial and financial findings, with a clear plan for each portfolio company instead of discovering problems after a breach.

  • Credible answers on LP questionnaires
  • Clear record of who viewed deal materials
  • Cyber risk visible at investment committee

What We Offer

Comprehensive solutions tailored for Houston-area businesses

Capital Call & Distribution Fraud Controls

Wire instructions for capital calls and distributions are a favorite target for impersonation. We help you enforce call-back verification to known contacts, dual approval, alerts on changed banking details and lookalike domain monitoring for your firm and your fund administrator, and we coordinate controls with the administrator so verification happens on both sides.

Deal Team Security

Partners and associates handle confidential targets on laptops and phones in airports, hotels and client offices. We manage those devices with encryption, endpoint detection and remote wipe, enforce phishing-resistant MFA and conditional access and protect inboxes from the targeted phishing that peaks around live transactions.

MNPI & Deal Data Access Control

Section 204A of the Advisers Act requires registered advisers to maintain policies to prevent misuse of material nonpublic information. We support those policies technically with deal-specific workspaces, access groups that track your watch and restricted lists, logging of who viewed what and controls on external sharing and downloads.

LP Due Diligence Support

Institutional LPs ask detailed cybersecurity questions during fundraising and annually afterward, often using the ILPA due diligence questionnaire. We keep an evidence package covering policies, access, MFA, vendor oversight, incident response and testing so your CFO can answer accurately, and we can join LP calls on technical topics.

Technical Cyber Due Diligence

Before you buy, we assess a target's IT and security posture: identity and MFA coverage, backup and recovery, exposed systems, endpoint protection, prior incidents and technical debt. Findings are written for the investment committee in plain language, with remediation costs and timing flagged for your deal model and purchase agreement discussions.

Portfolio Security Baselines

After close, each portfolio company gets a 100-day security plan built around a common baseline: MFA, managed endpoints, tested backups, email protection and an incident response plan. We can run IT for smaller companies directly or work alongside their existing team, and we report progress across the portfolio to your operating partners.

Fund Money That Goes Where It Should

Verified wiring instructions and dual approval stop the impersonation attacks that target capital calls and distributions. LPs get a firm that treats their money with obvious care, and the CFO avoids the conversation nobody wants to have with an investor.

Faster Fundraising Diligence

A current, accurate evidence package shortens the cybersecurity portion of LP diligence. Your team responds without overstating controls in writing, which matters more as LPs become more sophisticated about what they ask and how they verify it.

Cyber Risk Priced Into Deals

Technical diligence surfaces problems like missing backups, unsupported systems or a past incident before closing. That gives you room to adjust price, terms or the value creation plan instead of absorbing the cost after the fact.

A Portfolio You Can See

Common baselines and portfolio-wide reporting let operating partners compare security posture across companies and focus effort where risk is highest. Boards get clear updates, and fewer surprises reach the firm through a portfolio company's incident.

Our Process

1
Meet with the CFO, CCO and an operating partner to map firm systems, fund money flows, deal workflows and current portfolio concerns.
2
Inventory devices, accounts, data rooms, fund administrator connections and the vendors that hold firm, fund or LP information.
3
Enforce MFA and device management for the deal team and put verification and dual approval around every capital call and distribution.
4
Set up deal workspaces with access logging tied to MNPI policies, and build the LP due diligence evidence package.
5
Add technical cyber diligence to your acquisition process and agree a 100-day security baseline for new portfolio companies.
6
Report quarterly on firm security and portfolio progress, refresh LP evidence annually and support incidents at the firm or portfolio level.

Frequently Asked Questions

How do we protect capital calls from wire fraud?▼
Make verification mandatory and independent of email. Wiring instructions in capital call notices should never change by email alone; any change gets confirmed by calling a known contact at a number on file. LPs should be told in writing that your instructions won't change without that confirmation. On the outbound side, distributions get dual approval and call-back on any new or changed bank details. We configure supporting controls, monitor lookalike domains and work with your fund administrator to match the process.
What does technical cyber due diligence on a target involve?▼
Typically a scoped review during the diligence window: interviews with the target's IT lead, a review of identity and MFA coverage, backups and recovery testing, endpoint protection, exposed internet services, key vendors, prior incidents and insurance. Where the seller allows, we add external scanning. The output is a short report for the investment committee with risk ratings, remediation estimates and timing. Legal terms, like representations or escrow tied to findings, are for your deal counsel.
Our LPs keep sending longer cybersecurity questionnaires. Can you help answer them?▼
Yes. Most questions cover governance, policies, access control, MFA, device management, vendor oversight, incident response, testing and past incidents, and many follow the ILPA due diligence questionnaire structure. We keep a current evidence package and a library of accurate answers, update them as controls change and review drafts before they go out so nothing is overstated. Your CFO and CCO sign off on final responses, and we can join LP calls for technical follow-ups.
Do MNPI policies have an IT component?▼
They do. Registered advisers must maintain policies to prevent misuse of material nonpublic information under Section 204A of the Advisers Act, and those policies are much more credible when systems enforce them. We create deal-specific workspaces and access groups that match your restricted and watch lists, log access to deal materials, limit external sharing and downloads and help produce access reports for compliance reviews. Your CCO owns the policy and the lists.
Can you run IT for our portfolio companies too?▼
For smaller portfolio companies, often yes: we provide managed IT and security directly, using the same baseline we'd recommend anyway. For larger companies with their own IT teams, we work alongside them in a co-managed model, focusing on security gaps and reporting progress to your operating partners. Either way, each company signs its own agreement and owns its environment, so a future sale doesn't require untangling shared infrastructure. Portfolio reporting still rolls up to the firm.
How is IT for a PE firm different from IT for a family office?▼
Both manage significant capital, but a private equity firm answers to outside LPs, often operates as a registered adviser with MNPI and recordkeeping duties, and owns portfolio companies whose risk flows back to the fund. A family office serves one family, usually isn't SEC-registered and spends more effort on the principals' personal lives, homes and staff. We support firms in Texas and nationwide, and we shape the program around who you answer to.
Do you provide Private Equity Firms IT Services in Houston and nearby areas?▼
Yes. LayerLogix is based in the Greater Houston area and delivers private equity firms IT services to businesses across Houston and the surrounding communities, including The Woodlands, Spring, Katy, Sugar Land, Conroe, Cypress, and Pearland. For most Houston-area clients we can be on-site the same day when something needs hands-on attention, and our help desk is available during business hours, with after-hours emergency support. Call 713-571-2390 to check coverage for your specific address.
What does Private Equity Firms IT Services cost for a Houston business?▼
Pricing depends on your size and what you need, so we do not publish a one-size-fits-all number — but Houston businesses generally pay a flat, predictable monthly fee rather than surprise hourly bills. We start with a free, no-obligation assessment of your current setup, then give you a clear quote in plain English with no hidden costs. That way you know exactly what you are getting and what it costs before you commit.
